By accessing or using KaizanAIStudios.com or any of our applications including Kaizan AI Discovery and Kaizan Clarity (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use our Services.

Kaizan AI Studios LLC provides AI-powered software applications and training resources designed to help AI consultants, technology founders, and no-code builders develop the business and technology skills needed to succeed. Our current Services include:

• Kaizan AI Discovery — An AI-powered platform to help consultants plan, execute, and analyze professional client discovery calls
• Kaizan Clarity — An AI-powered tool to help builders articulate app ideas and generate structured build plans
• KaizanAIStudios.com — Our primary website and resource hub

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate and complete information when creating your account
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

Subscription Plans
Some of our Services are offered on a subscription basis. Current pricing for Kaizan AI Discovery is $19.99 per month or $197 per year. Pricing is subject to change with reasonable notice.

Billing
Subscriptions are billed in advance on a monthly or annual basis. All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees.

Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except where required by law.

Free Beta Access
During beta periods, we may offer limited free access to our Services. Beta access is provided as-is, without warranties, and may be modified or discontinued at any time.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our Services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of our Services
• Interfere with or disrupt the integrity or performance of our Services
• Use our Services to transmit harmful, offensive, or illegal content

All content, features, and functionality of our Services — including text, graphics, logos, software, and AI-generated outputs from our platform — are owned by Kaizan AI Studios LLC or its licensors and are protected by intellectual property laws.

You retain ownership of any content you input into our Services. By using our Services, you grant Kaizan AI Studios LLC a limited license to process your inputs solely to provide the Services to you.

You may not copy, reproduce, distribute, or create derivative works from our Services without our express written permission.

Our Services use artificial intelligence to generate recommendations, analysis, and content. You acknowledge that:

• Outputs do not constitute professional business, legal, financial, or consulting advice

TO THE FULLEST EXTENT PERMITTED BY LAW, KAIZAN AI STUDIOS LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, error-free, or free of viruses or other harmful components.

TO THE FULLEST EXTENT PERMITTED BY LAW, KAIZAN AI STUDIOS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Kaizan AI Studios LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of our Services or violation of these Terms.

Our Services may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or terms of third-party services. Your use of third-party services is at your own risk.

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on our website and updating the effective date. Your continued use of our Services after changes constitutes acceptance of the updated Terms.
